WARN INDUSTRIES VEHICLE LOAN PROGRAM TERMS & CONDITIONS These Terms and Conditions (“Agreement”) govern the participation of customers (“Participant”) in the Warn Industries Vehicle Loan Program (“Program”), in which a Participant may loan their vehicle to Warn Industries, Inc. (“Warn”) for engineering, development, testing and marketing purposes in exchange for specified consideration. By enrolling in the Program, the Participant agrees to the following: 1. Purpose of the Program Warn may request the temporary loan of a Participant’s vehicle to support the design, engineering, testing, and marketing of Warn products, including but not limited to bumpers and winches. In return, the Participant will receive a complimentary Warn products (the “Consideration”) once the Program obligations are fulfilled. 2. Vehicle Eligibility and Inspection 1. Vehicle participation is subject to Warn’s sole discretion and approval. 2. Prior to acceptance into the Program, both the Participant and Warn will conduct a joint inspection of the vehicle to document its condition. 3. A final joint inspection will be completed when the vehicle is returned to the Participant. 4. The vehicle will be returned in substantially the same condition as documented in the Vehicle Condition Report, subject to normal wear.
3. Duration and Scope of Loan 1. The duration of the loan and the scope of activities for which Warn will use the vehicle will be agreed upon prior to vehicle transfer. 2. Warn will make reasonable efforts to return the vehicle within the agreed timeframe, but unforeseen engineering needs may extend the period. Any extension will be communicated in advance and requires Participant’s consent. 4. Participant Responsibilities 1. The Participant represents that they are the lawful owner of the vehicle, with clear authority to loan it to Warn. 2. The Participant shall remove all personal property before the vehicle is delivered to Warn. Warn is not responsible for lost, stolen, or damaged personal items left in the vehicle. 3. The Participant is responsible for maintaining valid registration and insurance on the vehicle throughout the Program duration. 5. Warn Responsibilities 1. Warn will exercise reasonable care in handling and storing the vehicle while in its possession. 2. Warn agrees to return the vehicle in the condition documented in the Initial Condition Report, excluding ordinary wear and tear. 3. If damage occurs to the vehicle while in Warn’s care, Warn will either repair the damage at its expense or reimburse the Participant for the cost of such repair 4. Warn will provide the agreed upon Consideration upon successful completion of the Program.
6. Liability and Insurance 1. Warn maintains insurance coverage for vehicles in its care, custody, and control. 2. Participant agrees that Warn shall not be liable for any pre-existing mechanical issues, defects, or wear not caused by Warn. 3. Participant agrees to hold Warn harmless from claims arising from prior use of the vehicle or issues unrelated to Warn’s possession.
7. Ownership of Work
All designs, prototypes, test data, and intellectual property developed during the Program are the exclusive property of Warn. Warn retains full ownership rights to any photos, videos, or other media created of the vehicle while in Warn’s possession. 8. Consideration Upon successful completion of the Program, and following the return of the vehicle, Warn will provide the Participant with the items agreed upon prior to drop off. No cash or alternative compensation will be offered. 9. Termination Either party may withdraw from the Program prior to vehicle transfer without penalty. If the Participant withdraws after vehicle delivery but before completion of the agreed loan period, the Consideration will not be provided. If the Participant requests to withdraw the vehicle early, Warn will restore the vehicle to its initial condition in a timely manner.
